October 16, 2003 - Proposed Acquisition Vertigo Software Corp. ("Vertigo" or the "Company") wishes to announce that further to its news release of January 31, 2003, and subject to regulatory approval, Vertigo has acquired 65% of the common shares of Digital Accelerator Corp. ("DACCEL"), in consideration of which Vertigo shall issue one Vertigo unit ("Units") in exchange for each DACCEL Share, each unit consisting of one-quarter (1/4) of one common share of Vertigo ("Vertigo Shares") and one (1) Series B non-voting preferred share of Vertigo ("Preferred B Shares") at a deemed price of CDN$0.001 per Preferred B Share. Each Preferred B Share will entitle the holder to receive dividends representing in the aggregate 25 percent of the net after tax profits of Vertigo, which dividends will continue to be paid until the date (the "Dividend Termination Date") that is the earlier of the date on which total dividends paid on each Preferred B Share equals CDN$1.00 and January 5, 2009. Each Preferred B Share will be convertible into one share purchase warrant of Vertigo ("Vertigo Warrants") at the option of the holder at any time prior to the Dividend Termination Date, and will be deemed to have been automatically converted on the Dividend Termination Date in any case no later than January 5, 2009. Each Vertigo Warrant will entitle the holder to purchase one additional common share of Vertigo ("Warrant Shares") at a price of CDN$0.50 per Vertigo Share at any time prior to the second anniversary of the date of issuance of the Vertigo Warrant. All of the above is subject to the approval of regulatory authorities. Digital Accelerator Corp.
